Terms of Service

These terms cover jbnx.io, the client portal, and every mockup, audit, site, app, and care plan JBNX LLC ("JBNX", "we") provides. By requesting work or paying for a plan you agree to them. Plain-English summaries appear in boxes; the surrounding text is what governs.

1. Free mockups and audits

You get one homepage concept and one revision, free, in about 48 hours. It is ours until you hire us.

A free mockup or audit is offered to help you decide whether to hire JBNX. All concepts, designs, drafts, and mockups are the sole property of JBNX and protected by U.S. copyright law until payment in full under a launch plan. They are provided for evaluation only; no license to use, publish, modify, or build from them is granted before that. Do not share them with third parties without our written consent. Additional design rounds beyond the one free revision are studio time.

2. Launch plans and care

Site or app is $49/mo. Care has a 12-month minimum, and every month includes $49 of studio-time credit.

A launch plan covers building the approved mockup into a live site or app on a domain we register and manage for you, with hosting, TLS certificate, and email forwarding. Care covers keeping that live: hosting, certificate, domain management, and backups. Care is billed monthly through Stripe starting at launch, with a 12-month minimum term, then month to month. Prices are those published on jbnx.io on the day you sign up; we give 30 days' notice before any change to your care rate.

3. Studio time and credits

All work is metered at $60/hr by the minute on bill.jbnx.io. Every dollar you pay us (not pass-through fees) becomes one included minute. Unused minutes roll over.

Work beyond what a plan includes — changes, new pages, SEO, integrations, fixes you request — is studio time at the published hourly rate, logged by the minute in your bill.jbnx.io account. Your care payments and JBNX add-ons convert to included minutes at $1 = 1 minute for the plan year. Third-party pass-through fees (Shopify, premium domains, extra mailboxes billed at cost) do not earn minutes. Additional time is prepaid as credits. Credits and rollover minutes have no cash value and are not refundable, but do not expire while your care plan is active.

4. Scope, approvals, and timelines

The approved mockup defines the launch scope. Anything not in it is studio time. Typical flat-site launches take days after approval; apps and stores take two to three weeks as scoped. Timelines assume you supply content, logins, and approvals when asked; delays on your side extend ours. Large or custom builds (AI features, scheduled jobs, databases beyond a basic store) are quoted separately after a consult.

5. Your content and your obligations

You own the text, images, logos, and data you give us and confirm you have the right to use them. You will not use a JBNX-hosted site for anything illegal, deceptive, infringing, or harmful, and you will keep your portal and billing logins private. We may suspend a site that is being used to violate these terms or that puts other clients' hosting at risk, and we will tell you why.

6. Ownership of the work

Once paid, the site is yours. The domain is yours. Our internal tooling and templates stay ours.

Once the first care payment clears, you own the delivered site's content, design, and code specific to your project. JBNX retains ownership of its reusable components, build tooling, and know-how, and grants you a perpetual license to whatever of that is embedded in your site. We may show your live site in our portfolio unless you ask us not to.

7. Cancellation and refunds

Cancel any time. The domain and a full site download are always yours. Care already paid is not refunded.

You may cancel care at any time from bill.jbnx.io or by emailing hello@jbnx.io. Whenever you cancel — before or after the 12-month minimum — we transfer the domain to a registrar account you control (you pay the registrar's transfer fee) and send you a complete download of the site. Hosting, certificate, and email end at the close of the paid period. If you cancel before the 12-month minimum, remaining minutes are forfeited; you are not billed for the unused months. Care payments already made are not refundable except where we failed to provide the service. Free mockups carry no charge and no refund.

8. Uptime and support

We aim to keep hosted sites online continuously and respond to outage reports within one business day, usually much faster. We do not promise a specific uptime percentage. If a site we host is down for more than 24 consecutive hours because of something on our side, we credit that month's care.

9. Third-party services

Domains, Stripe, Shopify, Square, Google, and other platforms have their own terms and fees, which you agree to directly. We are not responsible for their outages, price changes, or policy decisions, though we will help you work around them on studio time.

10. Disclaimer and limitation of liability

Services are provided "as is" except as expressly stated here. We do not guarantee search rankings, traffic, leads, or revenue. To the fullest extent the law allows, JBNX's total liability for any claim arising from these terms or our services is limited to the amounts you paid us in the twelve months before the claim, and we are not liable for indirect, incidental, or consequential damages, including lost profits or data, even if advised of the possibility.

11. General

These terms are governed by the laws of the Commonwealth of Virginia. Disputes will be resolved in the state or federal courts in Arlington County, Virginia, after a good-faith attempt to settle by email or phone. If a provision is unenforceable, the rest stands. These terms plus any written statement of work are the whole agreement and replace prior discussions. We may update these terms; material changes are posted here with a new effective date and, for active clients, emailed 30 days ahead.
